Healthcare providers remain solely responsible for:

  • Treatment recommendations;
  • Prescription management;
  • Medical documentation review and approval;
  • Compliance with applicable healthcare regulations.

Scribente personnel do not independently practice medicine, nursing, or other licensed healthcare professions unless explicitly stated otherwise.

Healthcare providers remain solely responsible for:

4. Service Agreements

Certain services may require separate agreements, including but not limited to:

  • Service Agreements
  • Business Associate Agreements (BAAs)
  • Non-Disclosure Agreements (NDAs)
  • Staffing Agreements
  • Payment Agreements
  • Trial Service Agreements

In the event of any conflict between these Terms and a separate executed agreement, the executed agreement shall control.

5. HIPAA Compliance and Protected Health Information

Scribente understands the importance of safeguarding Protected Health Information (“PHI”) and maintaining HIPAA compliance.

Where applicable, Scribente may function as a Business Associate under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).

Healthcare providers and clients remain responsible for ensuring their own HIPAA compliance obligations, including secure system configurations, access permissions, and regulatory responsibilities.

6. User Responsibilities

Users and clients agree to:

  • Provide accurate and complete information;
  • Maintain the confidentiality of account credentials;
  • Use services in compliance with applicable laws;
  • Avoid transmitting malicious software or unauthorized materials;
  • Refrain from misusing Scribente systems or personnel;
  • Ensure lawful authorization for any data shared with Scribente.

Users are solely responsible for all activities conducted through their accounts or systems.

7. Payment Terms

Payment terms may be outlined in separate agreements, invoices, or proposals.

 

Unless otherwise agreed:

  • Payments are due according to invoice terms;
  • Late payments may result in service suspension;
  • Scribente reserves the right to charge late fees where permitted by law;
  • Clients remain responsible for all applicable taxes and charges.

Failure to make timely payments may result in delayed services, suspension, or termination of service agreements.

8. Trial Services

Scribente may offer trial periods, introductory services, or evaluation periods at its discretion.

 

Trial services are provided “as is” without guarantees regarding continuation, staffing availability, or long-term engagement.

 

Scribente reserves the right to discontinue trial services at any time.

9. Confidentiality

Both Scribente and its clients acknowledge the importance of maintaining confidentiality regarding proprietary, business, operational, financial, and healthcare-related information.

 

Confidential information includes but is not limited to:

  • Patient information;

  • Operational workflows;
  • Pricing structures;
  • Business processes;
  • Internal communications;

Neither party shall disclose confidential information except as required for authorized service delivery or by law.

 

Confidentiality obligations survive termination of services.

  • Regulatory noncompliance by the client.

16. Service Availability

While we strive to maintain uninterrupted services, Scribente does not guarantee continuous website or service availability.

 

Services may be interrupted due to:

  • Maintenance;
  • Technical issues;
  • Security incidents;
  • Third-party outages;
  • Internet disruptions;
  • Force majeure events.

We reserve the right to modify, suspend, or discontinue services at any time.

17. Workforce and Staffing

Scribente may assign personnel, contractors, virtual assistants, scribes, or support staff based on operational requirements and client needs.

 

We reserve the right to:

  • Replace assigned personnel;
  • Modify staffing structures;
  • Reassign resources;
  • Adjust workflows or operational procedures.

All Scribente personnel remain under the management and operational oversight of Scribente unless otherwise agreed in writing.

18. Non-Solicitation

Clients agree not to directly hire, solicit, recruit, or engage Scribente personnel outside of Scribente during active engagements and for a specified period following termination unless otherwise agreed in writing.

 

Violation of this provision may result in financial penalties or legal remedies where enforceable by law.

19. Data Security

Scribente implements reasonable security measures designed to protect information and operational systems.

 

However, users acknowledge that:

  • No electronic system is completely secure;
  • Internet transmissions carry inherent risks;

Users are responsible for maintaining appropriate security practices within their own systems and environments.

20. Termination
